PREAMBLE 

These Terms of Use ("Terms") govern your access to and use of all VIGI IQ, LLC products, services, and digital properties - including the VIQ™ Cognitive Demo ("the Demo"), all Vigilant Cognitive Training Systems™ (VCTS™) training modules (when available for purchase), the VIGI IQ™ website (vigiiq.com), and any future products or services offered by VIGI IQ, LLC (collectively, "the Products"). 

By accessing or using any Product in any way - including viewing, interacting with, purchasing, downloading, or exporting content from it - you ("the User") agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use any Product. 

VIQ™ is designed around a human-first principle: the human is always in control, and the AI always serves the human - never the other way around. These Terms reflect that same philosophy. You are the Alpha. VIGI IQ, LLC is here to serve you responsibly. 

1.  NATURE OF THE PRODUCTS 

1.1  VIQ™ Cognitive Demo 

The VIQ™ Cognitive Demo, publicly branded VIQ Proto™, is a publicly accessible demonstration of the proprietary VIQ™ (Vigilant Intelligence Quotient) cognitive architecture. It is not a finished, commercially released, or clinically validated product. It is provided solely to demonstrate the conceptual architecture, governance framework, and operational principles of the VIQ™ system. The Demo is provided free of charge for evaluation and demonstration purposes only. Access may be modified, restricted, rate-limited, suspended, or terminated at any time without notice. 

1.2  VCTS™ Training Modules 

The Vigilant Cognitive Training Systems™ (VCTS™) modules - including the Clinical Research Systems™ module (CRDS™), Regulatory & Compliance Systems™ module (RCGS™), Psychometrics & Quantitative Systems™ module (PQDS™), and AI Research & Safety Systems™ module (ARSIS™) - are structured educational products sold as one-time purchase digital products. Each module is designed to train structured cognitive decision frameworks. VCTS™ modules are educational materials. They do not confer professional credentials, certifications, or licenses of any kind. 

1.3  Future Products 

These Terms apply to all current and future VIGI IQ, LLC products and services as they are released, unless superseded by a separate written agreement. 

2.  NOT PROFESSIONAL ADVICE 

NOTHING GENERATED BY THE VIQ™ DEMO OR PROVIDED IN ANY VCTS™ MODULE CONSTITUTES PROFESSIONAL MEDICAL, CLINICAL, PSYCHOLOGICAL, REGULATORY, LEGAL, FINANCIAL, OR ANY OTHER FORM OF EXPERT ADVICE. 

The VIQ™ Demo may generate outputs that reference medical conditions, clinical data, pharmacological information, psychological assessments, regulatory requirements, legal concepts, or other specialized domains. These outputs are generated by an AI system and are not reviewed, verified, or endorsed by any licensed professional. VCTS™ module content reflects the frameworks and expertise of the founder and is provided for educational purposes only. 

You must not rely on any Demo output or VCTS™ module content to make decisions about your health, medical treatment, medications, regulatory compliance strategy, legal matters, financial investments, or any other matter where professional guidance is required or advisable. Always consult a qualified, licensed professional for advice specific to your situation. 

3.  ASSUMPTION OF RISK 

Your use of any VIGI IQ™ Product is entirely voluntary and at your own risk. You assume full responsibility for any decisions made, actions taken, or outcomes arising from your use of or reliance on any Product output or module content. VIGI IQ, LLC expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. 

4.  LIMITATION OF LIABILITY 

To the fullest extent permitted by applicable law, VIGI IQ, LLC, its founder, officers, affiliates, agents, and successors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages of any kind arising from or related to your use of or inability to use any Product, or your reliance on any output or content generated or provided by any Product. This limitation applies regardless of the basis of the claim, whether in contract, tort, negligence, strict liability, or otherwise, and even if VIGI IQ has been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of certain damages, VIGI IQ's liability shall be limited to the maximum extent permitted by applicable law. 

5.  INTELLECTUAL PROPERTY 

All content, architecture, outputs, design, branding, technology, and intellectual property associated with any VIGI IQ™ Product - including but not limited to the VIQ™ cognitive architecture, the Ω-IX™ (Omega Interaktiv Experience) ethics and governance framework and its extensions comprising epistemic and computational admissibility criteria, OmegaMind (ΩM)™ governed runtime architecture, all underlying cognitive architecture components, all VCTS™ training module content (CRDS™, RCGS™, PQDS™, and ARSIS™), the proprietary structured command system, all visual design elements, branding, taglines, and written materials - are the exclusive property of Chanel A. Henry and VIGI IQ, LLC.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Demo solely for personal evaluation and demonstration purposes, and to use any purchased VCTS™ module content solely for your own personal professional development. This license does not grant you any right to copy, reproduce, distribute, reverse engineer, create derivative works from, share with third parties for commercial purposes, or otherwise exploit any element of any VIGI IQ™ Product or its underlying architecture. 

Outputs generated by the Demo during your session do not become your intellectual property. All outputs are generated by and remain associated with the VIQ™ architecture owned by VIGI IQ, LLC. Purchased VCTS™ module content may be used by the individual purchaser for personal professional development and may not be redistributed, resold, shared in bulk, or used as the basis for competing training products. 

6.  PURCHASE TERMS - VCTS™ MODULES 

All VCTS™ module purchases are final. No refunds will be issued after module access has been delivered except as required by applicable law. Each module license is for individual use by the purchasing user only and may not be transferred, resold, shared, or sublicensed. Organizational or team licensing is available through a separate written licensing agreement with VIGI IQ, LLC. Contact chenry@vigiiq.com for organizational licensing inquiries. 

7.  DATA AND PRIVACY 

The Demo may retain session interactions, commands, and outputs for system improvement and development purposes. Users are required to provide an email address to access the Demo; this email is collected for access management and communication purposes. Do not enter sensitive, confidential, personally identifiable, protected health, financial, or proprietary information of any kind into the Demo. The Demo is not a secure environment for sensitive data and is not HIPAA-compliant. VIGI IQ, LLC does not sell your interaction data to third parties for commercial purposes. 

8.  ACCEPTABLE USE 

You agree to use all VIGI IQ™ Products only for lawful purposes and in accordance with these Terms. You agree not to: 

Attempt to probe, scan, or test the vulnerability of the Demo or any associated systems; 

Attempt to reverse engineer, decompile, or extract the underlying architecture, model weights, source code, or proprietary components of any Product, which may result in legal action; 

Use any Product to generate harmful, abusive, defamatory, or illegal content; 

Attempt to circumvent the Ω-IX™ ethics and governance framework or any safety mechanisms built into the Demo; 

Represent Demo outputs or VCTS™ module content as professional medical, legal, financial, regulatory, or clinical advice to any third party; 

Use any Product for commercial purposes - including delivering training, consulting, or advisory services to clients - without prior written authorization from VIGI IQ, LLC; 

Redistribute, resell, or sublicense any VCTS™ module content in any form; 

Misrepresent your affiliation with VIGI IQ, LLC or claim ownership of any element of any VIGI IQ™ Product; 

Use information obtained from any VIGI IQ™ Product to file or assist in filing any competing patent, trademark, or intellectual property application. 

9.  THE Ω-IX™ HUMAN-FIRST COMMITMENT 

Every VIGI IQ™ Product is built on a foundational principle: the human is always Alpha. Every interaction with the VIQ™ Demo is governed by the Ω-IX™ (Omega Interaktiv Experience) ethics and governance framework - a proprietary human-first architecture ensuring the AI always operates in service of human intent and under human direction. Every VCTS™ module is designed to strengthen human reasoning - not to replace it. 

These Terms of Use reflect that same commitment. VIGI IQ, LLC does not design systems that diminish human agency, override human judgment, or operate beyond the boundaries of human authorization. We build AI that serves. We train humans to think. You decide. Always. 

10.  BIOSYSTEMS™ DISCLAIMER 

VIGI IQ BioSystems™ represents a future product line and integration model currently in development. No VIGI IQ BioSystems™ products are commercially available at this time. References to BioSystems™ applications in any VIGI IQ™ communication or Product are forward-looking descriptions of planned future capabilities and do not represent currently available products. No medical device claims are made or implied. 

11.  MODIFICATIONS AND TERMINATION 

VIGI IQ, LLC reserves the right to modify, suspend, or terminate the Demo or any other Product at any time without notice. These Terms may be updated at any time. Continued use of any Product following any update constitutes acceptance of the revised Terms. VIGI IQ, LLC reserves the right to restrict or terminate your access to any Product at any time and for any reason, including but not limited to violation of these Terms. 

12.  GOVERNING LAW 

These Terms of Use shall be governed by and construed in accordance with the laws of the United States and the state in which VIGI IQ, LLC is registered, without regard to conflict of law principles. Any dispute arising under or related to these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in that state.
