PREAMBLE

These Terms of Use (“Terms”) govern your access to and use of the VIQ Cognitive Prototype demo (“the Demo”), a publicly accessible demonstration of the proprietary VIQ (Vigilant Intelligence Quotient) synthetic cognitive architecture developed by Chanel A. Henry and VIGI IQ, LLC (“VIGI IQ,” “we,” or “us”).

By accessing or using the Demo in any way — including viewing, interacting with, or exporting outputs from it — you (“the User”) agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Demo.

VIQ is designed around a human-first principle: the human is always in control, and the AI always serves the human — never the other way around. These Terms reflect that same philosophy. You are the Alpha. We are here to serve you responsibly.

1. NATURE OF THE DEMO

1.1. The VIQ Cognitive Prototype is an early-stage research and demonstration prototype. It is not a finished, commercially released, or clinically validated product. It is provided solely to demonstrate the conceptual architecture, ethical framework, and operational principles of the VIQ system.

1.2. The Demo is provided free of charge for evaluation, research interest, and demonstration purposes only. Access may be modified, restricted, rate-limited, suspended, or terminated at any time and for any reason without notice.

1.3. The Demo runs on a local AI model that may produce outputs that are incomplete, inconsistent, or factually inaccurate. VIGI IQ does not warrant the accuracy, completeness, reliability, or fitness for any purpose of any output generated by the Demo.

2. NOT PROFESSIONAL ADVICE

NOTHING GENERATED BY THE VIQ DEMO CONSTITUTES PROFESSIONAL MEDICAL, CLINICAL, PSYCHOLOGICAL, LEGAL, FINANCIAL, OR ANY OTHER FORM OF EXPERT ADVICE.

2.1. The Demo may generate outputs that reference medical conditions, clinical data, pharmacological information, psychological assessments, legal concepts, financial instruments, or other specialized domains. These outputs are generated by an AI system and are not reviewed, verified, or endorsed by any licensed professional.

2.2. You must not rely on any Demo output to make decisions about your health, medical treatment, medications, legal matters, financial investments, or any other matter where professional guidance is required or advisable.

2.3. Always consult a qualified, licensed professional — physician, psychologist, attorney, financial advisor, or other relevant expert — for advice specific to your situation. No AI output, however sophisticated, substitutes for professional judgment.

2.4. The inclusion of clinical terminology, medical references, psychometric instruments, or domain-specific language in Demo outputs does not constitute clinical diagnosis, treatment recommendation, legal counsel, or financial guidance of any kind.

3. ASSUMPTION OF RISK

3.1. Your use of the Demo is entirely voluntary and at your own risk. You assume full responsibility for any decisions made, actions taken, or outcomes arising from your use of or reliance on any Demo output.

3.2. VIGI IQ expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.

3.3. You acknowledge that AI systems, including the VIQ Prototype, may produce outputs that are unexpected, incorrect, or contextually inappropriate. You agree to exercise independent judgment in evaluating all outputs.

4. LIMITATION OF LIABILITY

4.1. To the fullest extent permitted by applicable law, VIGI IQ, LLC, its founder, officers, affiliates, agents, and successors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages of any kind arising from or related to your use of or inability to use the Demo, or your reliance on any output generated by the Demo.

4.2. This limitation applies regardless of the basis of the claim — whether in contract, tort, negligence, strict liability, or otherwise — and even if VIGI IQ has been advised of the possibility of such damages.

4.3. In jurisdictions that do not allow the exclusion or limitation of certain damages, VIGI IQ’s liability shall be limited to the maximum extent permitted by applicable law.

5. INTELLECTUAL PROPERTY

5.1. All content, architecture, outputs, design, branding, technology, and intellectual property displayed in, generated by, or associated with the Demo — including but not limited to the VIQ cognitive architecture, the Ω-IX (Omega Interaktiv Experience) ethics framework, all cognitive layer designs, the proprietary command language, all visual design elements, and all written materials — are the exclusive property of Chanel A. Henry and VIGI IQ, LLC.

5.3. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Demo solely for personal evaluation and demonstration purposes. This license does not grant you any right to copy, reproduce, distribute, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit any element of the Demo or its underlying architecture.

5.4. Outputs generated by the Demo during your session do not become your intellectual property. All outputs are generated by and remain associated with the VIQ architecture owned by VIGI IQ, LLC.

5.5. Any attempt to reverse engineer, replicate, repurpose, or commercially exploit any element of the Demo, its architecture, its outputs, or its underlying technology is strictly prohibited and may result in legal action.

6. DATA AND PRIVACY

6.1. The Demo may retain session interactions, commands, and outputs for system improvement, development, and demonstration purposes.

6.2. Do not enter sensitive, confidential, personally identifiable, protected health, financial, or proprietary information of any kind into the Demo. The Demo is not a secure environment for sensitive data and is not HIPAA-compliant.

6.3. By using the Demo, you consent to the collection and use of interaction data as described herein. VIGI IQ does not sell or share your interaction data with third parties for commercial purposes.

7. ACCEPTABLE USE

You agree to use the Demo only for lawful purposes and in accordance with these Terms. You agree not to:

Attempt to probe, scan, or test the vulnerability of the Demo or any associated systems
Attempt to reverse engineer, decompile, or extract the underlying architecture, model weights, or source code
Use the Demo to generate harmful, abusive, defamatory, or illegal content
Attempt to circumvent the Ω-IX ethics framework or any safety mechanisms built into the Demo
Represent Demo outputs as professional medical, legal, financial, or clinical advice to any third party
Use the Demo for commercial purposes without prior written authorization from VIGI IQ, LLC
Misrepresent your affiliation with VIGI IQ, LLC or claim ownership of any element of the VIQ architecture

8. THE Ω-IX HUMAN-FIRST COMMITMENT

The VIQ Cognitive Prototype is built on a foundational principle: the human is always Alpha. Every interaction is governed by the Ω-IX (Omega Interaktiv Experience) ethics framework — a proprietary human-first architecture ensuring the AI always operates in service of human intent and under human direction.

These Terms of Use reflect that same commitment. VIGI IQ does not design systems that diminish human agency, override human judgment, or operate beyond the boundaries of human authorization. We build AI that serves. You decide. Always.

9. MODIFICATIONS AND TERMINATION

9.1. VIGI IQ reserves the right to modify, suspend, or terminate the Demo at any time without notice. These Terms may be updated at any time. Continued use of the Demo following any update constitutes acceptance of the revised Terms.

9.2. VIGI IQ reserves the right to restrict or terminate your access to the Demo at any time and for any reason, including but not limited to violation of these Terms.

10. GOVERNING LAW

These Terms of Use shall be governed by and construed in accordance with the laws of the United States and the state in which VIGI IQ, LLC is registered, without regard to conflict of law principles. Any dispute arising under or related to these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in that state.
